AnkoClub Membership Program

1. INTRODUCTION

Welcome to Anko Club, the official membership program of Anko. These Terms and Conditions ("Terms") govern your membership and use of the Anko Club mobile application ("App"). By registering for Anko Club and using the App, you agree to be bound by these Terms. If you do not agree to these Terms, please do not register for or use the App.

2. DEFINITIONS

In these Terms:

● "We," "us," and "our" refer to Anko, its parent company, subsidiaries, and affiliates.

● "You" and "your" refer to the individual applying for membership or using the App.

● "Anko Club" refers to the membership program operated by Anko.

● "App" refers to the Anko Club mobile application.

● "Membership" refers to your participation in the Anko Club program.

● "Member ID" refers to the unique identifier assigned to you upon registration.

● "Content" refers to all information, text, images, data, links, software, and other materials in the App.

3. ELIGIBILITY AND REGISTRATION

3.1 To be eligible for Anko Club membership, you must:

● Provide accurate and complete registration information;

● Have a valid email address and phone number; and

3.2 By registering, you agree that:

● You will maintain the accuracy of your registration information;

● You will create only one account.

● You will keep your login credentials secure; and

● You are responsible for all activities that occur under your account.

3.3 We reserve the right to refuse, suspend, or terminate membership at our discretion.

4. MEMBERSHIP BENEFITS

4.1 Anko Club membership benefits may include:

● Exclusive offers and promotions;

● Event invitations;

● Early access to new products;

● Member-only content; and

● Personalized recommendations.

4.2 Benefits are subject to availability and may vary. We reserve the right to modify benefits at any time without prior notice.

4.3 Membership benefits are non-transferable and cannot be combined with other promotions unless explicitly stated.

5. DIGITAL MEMBER ID

5.1 Upon registration, you will receive a digital Member ID in the form of a barcode or QR code.

5.2 Your Member ID:

● Must be presented at point of sale to receive benefits;

● May not be shared with or transferred to others;

● May be required for event check-in or promotion redemption; and

● Must not be duplicated, altered, or reproduced.

5.3 You agree to notify us immediately if you believe your Member ID has been compromised.

6. APP USE AND RESTRICTIONS

6.1 License Grant: We grant you a limited, non-exclusive, non-transferable, revocable license to use the App for personal, non-commercial purposes in accordance with these Terms.

6.2 You may not:

● Use the App for any illegal purpose;

● Copy, modify, distribute, sell, or lease any part of the App;

● Reverse engineer or attempt to extract the source code of the App;

● Remove any copyright, trademark, or other proprietary notices;

● Use the App in any manner that could disable, overburden, damage, or impair the App;

● Gain unauthorized access to the App, other users' accounts, or systems connected to the App; or

● Use any robot, spider, or other automated device or process to access the App.

6.3 We reserve the right to monitor your use of the App to ensure compliance with these Terms.

7. PROMOTIONS, CAMPAIGNS, AND EVENTS

7.1 Anko Club may offer various promotions, campaigns, and events. Participation in these activities is subject to Individualized Terms and conditions of its own.

7.2 For events:

● Registration is required and subject to capacity limits;

● You may need to present your Member ID for check-in.

● We reserve the right to photograph and record events, and by attending, you consent to appear in such media for marketing purposes; and

● Cancellation policies may apply as specified for each event.

7.3 For promotions and campaigns:

● Terms, conditions, and validity periods will be specified for each;

● Benefits may not be combined with other offers unless explicitly stated; and

● We reserve the right to modify or discontinue any promotion at our discretion.

8. INTELLECTUAL PROPERTY

8.1 The App, including its content, features, and functionality, is owned by Anko and its licensors and is protected by copyright, trademark, and other intellectual property laws.

8.2 Our trademarks and trade dress may not be used without our prior written permission.

8.3 You retain ownership of any content you submit, but grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, publish, and display such content in connection with the App and our marketing efforts.

9. USER CONTENT

9.1 You are solely responsible for the content you submit through the App.

9.2 You warrant that your content:

● Is accurate and not misleading;

● Does not violate any law or regulation;

● Does not infringe any third-party rights;

● Is free from viruses, malware, or harmful code; and

● Does not contain anything offensive, inappropriate, or objectionable.

9.3 We reserve the right to remove any content that violates these Terms or that we find objectionable.

10. PRIVACY

10.1 Your privacy is important to us. Our Privacy Policy explains how we collect, use, and disclose information about you. By using the App, you consent to the data practices described in our Privacy Policy.

10.2 The Privacy Policy is incorporated by reference into these Terms.

11. DISCLAIMERS

11.1 The app is provided "as is" and "as available" without warranties of any kind.

11.2 To the maximum extent permitted by law, we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

11.3 We do not warrant that:

● The App will meet your requirements;

● The App will be uninterrupted, timely, secure, or error-free;

● The results from the App will be accurate or reliable; or

● Any errors in the App will be corrected.

11.4 We are not responsible for any problems or technical malfunction of any telephone network, computer system, server, or provider, hardware, software, or any other failure due to mechanical, technical or other problems.

12. LIMITATION OF LIABILITY

12.1 To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the app or membership.

12.2 Pur total liability for any claims arising from these terms or your use of the app shall not exceed the amount you paid to us, if any, in the past 12 months.

13. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Anko, its parent company, subsidiaries, affiliates, partners, officers, directors, agents, employees, and licensors from any claims, liabilities, damages, losses, costs, expenses, and fees (including reasonable attorneys' fees) that arise from or relate to your use of the App, violation of these Terms, or infringement of any rights of a third party.

14. TERMINATION

14.1 We may terminate or suspend your membership and access to the App immediately, without prior notice or liability, for any reason, including if you breach these Terms.

14.2 Upon termination:

● Your right to use the App will cease immediately;

● You will lose access to any accumulated benefits, offers, or unredeemed rewards; and

● Sections of these Terms that by their nature should survive will remain in effect.

14.3 You may terminate your membership at any time by:

● Requesting termination through the App settings;

● Contacting customer support; or

● Ceasing all use of the App and deleting it from your device.

15. CHANGES TO TERMS

15.1 We may modify these Terms at any time by posting the updated Terms in the App.

15.2 Your continued use of the App after any changes indicates your acceptance of the modified Terms.

15.3 We will make reasonable efforts to notify you of material changes through the App or via email.

15.4 You should review these Terms periodically to stay informed of any changes.

16. GOVERNING LAW AND DISPUTE RESOLUTION

16.1 These Terms shall be governed by and construed in accordance with the laws of the Republic of the Philippines, without regard to its conflict of law provisions.

16.2 Any dispute arising from or relating to these Terms or the App shall be resolved through:

● Good faith negotiation between the parties;

● If negotiation fails, mediation in accordance with the rules of the Philippine Mediation Center; and

● If mediation fails, binding arbitration in Metro Manila, Philippines, in accordance with the rules of the Philippine Dispute Resolution Center.

16.3 Any arbitration shall be conducted in English by a single arbitrator.

16.4 The arbitrator's decision shall be final and binding on both parties.

17. COMPLIANCE WITH LAWS

17.1 You agree to comply with all applicable laws and regulations when using the App.

17.2 We make no representation that the App is appropriate or available for use in locations outside the Philippines. If you access the App from other locations, you do so at your own risk and are responsible for compliance with local laws.

18. GENERAL PROVISIONS

18.1 Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and us regarding the App and supersede all prior agreements.

18.2 Severability: If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced.

18.3 Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision.

18.4 Assignment: You may not assign or transfer these Terms without our prior written consent, but we may assign or transfer these Terms without restriction.

18.5 Force Majeure: We will not be liable for any failure or delay in performance resulting from causes beyond our reasonable control.

By registering for Anko Club and using the App, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.
